Special Business

That the Articles of Association of the Company be altered: By deleting Article 40(1) of Part B Other Articles the words “8% of the members” at the beginning and inserting in substitution the words “5% of the members or 120 members, whichever is the lower,”

Rationale for resolution change:

Following the introduction of the PMI Single Membership, PMIHK membership is projected to surpass 4,000 members by 2026.  Under the existing quorum requirement for the Articles of Association, this would necessitate a minimum of 320 attendees at the AGM, creating substantial logistical challenges in mobilizing attendees and securing an adequately sized venue.  The proposed amendment to 5% or 120 members whichever is lower offers a pragmatic and scalable approach to effectively manage future AGMs.

Post AGM Seminar: A Special one hour Seminar will be held immediately after the AGM. More information will be available on PMIHK’s website.
